B-BBEE Affidavit vs Certificate: Which One Your Business Needs

⚡ Quick answer
Most small South African businesses need only a free sworn B-BBEE affidavit, not a paid verification certificate. Exempted Micro Enterprises (annual turnover up to R10 million) are automatic level 4 by affidavit — level 2 with at least 51% black ownership, level 1 with 100%. Qualifying Small Enterprises (R10–50 million) with at least 51% black ownership can also use an affidavit for level 1 or 2; other QSEs and large enterprises verify through a SANAS-accredited agency against the full scorecard. Affidavits are sworn before a commissioner of oaths, valid for 12 months, and free.

The B-BBEE affidavit is one of the best-kept open secrets in small-business compliance: a free, one-page sworn statement that gives most SMEs a usable B-BBEE level without a five-figure verification bill. The trick is knowing whether your business qualifies for the affidavit route — or whether a client demanding ‘a certificate’ means you need the full scorecard. This guide draws the line cleanly.

B-BBEE affidavit vs certificate — EME and QSE thresholds and verification for small business
B-BBEE Affidavit vs Certificate: Which One Your Business Needs
📌 Key takeaways
  • Turnover up to R10m (EME): affidavit only — level 4 automatic, level 2 at 51% black ownership, level 1 at 100%.
  • R10–50m (QSE): affidavit if 51%+ black-owned; otherwise full verification.
  • Above R50m: SANAS-accredited verification, full scorecard.
  • Affidavits are free, sworn before a commissioner of oaths, valid 12 months.
  • Your level is your customers’ procurement score — keep it current.

The three size classes: EME, QSE and large enterprise

Which B-BBEE document your business needs
ClassAnnual turnoverDocumentLevel
EMEUp to R10 millionSworn affidavit (free)Level 4 automatic; level 2 at 51%+ black ownership; level 1 at 100%
QSE (black-owned)R10–50 million, 51%+ black ownershipSworn affidavit (free)Level 2 at 51–99%; level 1 at 100%
QSE (other)R10–50 millionVerification certificateFull QSE scorecard
Large enterpriseAbove R50 millionVerification certificateFull generic scorecard

Two notes that save money. First, the turnover test is annual turnover — most SMEs sit comfortably in EME territory. Second, ‘black ownership’ means ownership by black South Africans as defined in the B-BBEE Act; ownership by black women counts toward enhanced recognition in several contexts. If you are close to a threshold, your accountant’s confirmed figure is the one to use.

Getting a B-BBEE affidavit right

1
Confirm your class
Turnover from your latest financials, and your black-ownership percentage from share records. The affidavit states both under oath — get them right.
2
Complete the affidavit
The standard EME/QSE affidavit template captures company details, turnover, ownership percentage and the resulting level. Fill every field; blank fields are the top reason corporates reject affidavits.
3
Swear before a commissioner of oaths
Sign in front of a commissioner — police stations, banks, attorneys and accountants offer this, usually free. The stamp and signature make it a sworn statement.
4
Diarise the 12-month expiry
Affidavits are valid for 12 months from the date sworn. Renew annually and keep the current one in your tender pack.
⚠️ A false affidavit is not a shortcut, it is a charge
B-BBEE fronting — including misstating ownership or turnover on an affidavit — is an offence under the B-BBEE Act with fines and imprisonment, and corporates increasingly verify affidavit claims against CIPC and financials. Swear what is true.

When you need the verification certificate instead

Verification through a SANAS-accredited agency scores your business across the five elements — ownership, management control, skills development, enterprise and supplier development, socio-economic development — and issues a certificate with your level. You need it when: your turnover exceeds R50 million; you are a QSE below 51% black ownership; or a major client’s procurement policy demands a certificate regardless of your size (their right — procurement policies are private law between you).

Verification is a project: evidence gathering, a site visit, scoring and certification, running into thousands of rand and several weeks. Businesses that verify voluntarily at QSE level usually do it because a contract justifies it — and because their employment equity and skills records are already in order, which is most of the evidence. Frequently asked questions

What turnover qualifies for a B-BBEE affidavit?

Exempted Micro Enterprises with annual turnover up to R10 million always qualify. QSEs with turnover of R10–50 million qualify if at least 51% black-owned. Everyone else needs verification.

What B-BBEE level does an affidavit give me?

EMEs: automatic level 4, level 2 with at least 51% black ownership, level 1 with 100%. Black-owned QSEs: level 2 at 51–99% black ownership, level 1 at 100%.

How much does a B-BBEE affidavit cost?

Nothing. It is a sworn statement completed on the standard template and signed before a commissioner of oaths — available free at police stations, banks and most attorneys and accountants. It is valid for 12 months.

My client insists on a certificate even though I am an EME — must I verify?

Legally your affidavit is valid B-BBEE evidence, but procurement policies are the client's commercial choice. If the contract justifies it, voluntary verification is possible — otherwise point them to the Codes' recognition of sworn affidavits for EMEs and black-owned QSEs.
